Version 1
PolicyVera LLC operates a technology platform that facilitates the exchange of information between mortgage lenders and their borrowers, on one side, and independently licensed insurance agents, on the other, so borrowers can obtain homeowners and related insurance. With respect to borrower information you submit, you (the lender) are the financial institution and PolicyVera acts as your service provider, processing that information solely to provide the quoting service described here. PolicyVera is not an insurance broker, agent, or carrier and does not sell, solicit, negotiate, bind, or advise on insurance.
PolicyVera will use the borrower information you submit SOLELY to perform the insurance-quoting service on your behalf — creating the borrower's record, matching licensed agents, and facilitating quotes and communication within the Platform. PolicyVera will not use, disclose, sell, share, or retain that information for any other purpose, including marketing of unrelated products or resale to third parties, except as required by law. PolicyVera may, however, use information in de-identified or aggregated form that does not identify you or any borrower, and may use records generated on the Platform to operate, secure, and improve the Platform, to prevent fraud and abuse, and to comply with law. This restriction reflects the GLBA service-provider exception under which you are authorized to disclose this information to PolicyVera.
PolicyVera will keep borrower information confidential and will maintain administrative, technical, and physical safeguards designed to protect it, consistent with the GLBA Safeguards Rule, including encryption of that information in transit over external networks and at rest, role-based access controls limiting access to authorized personnel, and multi-factor authentication for administrative access. PolicyVera will not request, extract, or store Social Security numbers from any loan document or feed you provide, and retains only the fields needed to provide the Platform's services.
If you are a bank, savings association, or credit union, these safeguards are also designed to meet the objectives of the Interagency Guidelines Establishing Information Security Standards or, for a credit union, NCUA's Guidelines for Safeguarding Member Information.
PolicyVera collects and retains only the borrower information reasonably necessary to facilitate insurance quotes (such as name, contact information, the subject property, and basic loan details). Where you submit a complete loan file or document, PolicyVera extracts only those necessary fields at the point of ingestion and does not persist the remaining contents. PolicyVera will not retain information longer than necessary for the quoting purpose or as required by law.
You represent and warrant that you are authorized to submit each borrower's information to PolicyVera for the purpose of obtaining insurance quotes; that you have provided any privacy notices and obtained any consents required of you under the Gramm-Leach-Bliley Act and applicable state law, including any express written consent of the borrower, or opportunity for the borrower to object, that a state requires before a lender uses or shares insurance information obtained in connection with a loan for the purpose of obtaining insurance quotes; and that the information you submit is, to your knowledge, accurate. These obligations apply to every submission channel you use, including manual entry, document upload, email, and any automated API or webhook feed PolicyVera enables for you.
The Platform may show you the property insurance quotes a borrower receives (including carrier, premium, and coverage) and let you note a target maximum monthly premium. You agree to use this information solely for factual, loan-related purposes — confirming a policy's cost fits the borrower's debt-to-income and arranging escrow. You will not use it to recommend, endorse, or disparage any agent, insurer, or policy; to advise that one is better than another; to negotiate or pressure a premium down; or to steer the borrower's choice of agent, insurer, or policy. The borrower alone selects their agent and policy; any target premium you enter communicates only the loan's affordability requirement to the agent.
PolicyVera may engage its own service providers (such as cloud hosting and infrastructure providers) to help deliver the Platform. PolicyVera will require those providers, by contract, to maintain safeguards and use restrictions no less protective than those in this agreement, and remains responsible for their handling of borrower information.
If PolicyVera becomes aware of a security incident involving the unauthorized acquisition of or access to borrower information you submitted, PolicyVera will notify you without undue delay and will cooperate in good faith with your incident-response and any legally required notifications. Each party will maintain a written incident-response plan as required by applicable law.
PolicyVera will retain borrower information only as long as necessary to provide the quoting service or as required by law, and will securely dispose of it thereafter. Upon termination of this agreement or upon your reasonable request, PolicyVera will return or delete borrower information you submitted, except for copies required to be retained by law, records reasonably needed for audit, dispute-resolution, or compliance purposes, or copies held in routine backups that are overwritten on a normal cycle.
Consistent with your obligation to oversee your service providers under the FTC Safeguards Rule, PolicyVera will, upon reasonable written request and no more than annually (absent a security incident), provide a summary of its information-security controls or comparable compliance documentation so you can assess the adequacy of its safeguards.
For a bank, savings association, or credit union, this section supports your monitoring of PolicyVera as a service provider under those same guidelines.
Each party will comply with all laws applicable to its role in this relationship, including the Gramm-Leach-Bliley Act, the FTC Safeguards Rule, and applicable state privacy, data-protection, and insurance laws. Neither party will take any action that would cause the other to violate such laws.
By clicking "Accept" you consent to enter into this agreement electronically in accordance with the federal ESIGN Act and applicable state Uniform Electronic Transactions Acts (UETA), and you represent that you are authorized to bind your organization to these terms. Your electronic acceptance has the same legal effect as a handwritten signature.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, POLICYVERA LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THIS AGREEMENT OR YOUR USE OF THE PLATFORM, REGARDLESS OF THE THEORY OF LIABILITY. NOTHING IN THIS SECTION LIMITS EITHER PARTY'S LIABILITY FOR ITS OWN BREACH OF ITS CONFIDENTIALITY OR DATA-PROTECTION OBLIGATIONS, OR EITHER PARTY'S INDEMNIFICATION OBLIGATIONS, TO THE EXTENT SUCH A LIMITATION IS NOT PERMITTED BY LAW.
Each party will indemnify, defend, and hold harmless the other from and against third-party claims, damages, losses, and reasonable expenses arising out of its own breach of this agreement, its violation of applicable law, or its negligent or wrongful acts or omissions in connection with the handling of borrower information.
This agreement is governed by the laws of the State of Idaho, without regard to its conflict-of-laws provisions. Any dispute will first be submitted to good-faith mediation; if unsuccessful, it will be resolved by binding arbitration administered by the American Arbitration Association in Meridian, Idaho. Nothing in this section prevents either party from seeking injunctive or equitable relief to protect confidential information or intellectual property.
Either party may terminate this agreement at any time. Upon termination, PolicyVera will cease processing borrower information except as permitted under Section I (Data Retention & Disposal). Sections B (Permitted Use), C (Confidentiality & Safeguards), F (Use of Quote Information), H (Security Incident Notification), I (Data Retention & Disposal), M (Limitation of Liability), N (Indemnification), and O (Dispute Resolution) survive termination.
The Platform uses artificial intelligence to read factual details from insurance documents and present them in structured form. Coverage details shown with a quote come from the quote a licensed insurance agent submitted and affirmed as their own; PolicyVera does not verify them. AI features do not interpret, evaluate, or compare coverage details and do not provide insurance advice or recommendations. The Platform's data displays are informational only — for any decision that depends on coverage being in force or on final policy terms, rely on the bound policy documents delivered to you, not on data summaries.
You grant PolicyVera a non-exclusive, worldwide, royalty-free permission to use and display your company's name and logo; your personal name, title, photo, and likeness; and any reviews, feedback, or testimonials you provide about the Platform, whether submitted on the Platform, sent to PolicyVera directly, or posted publicly — on the Platform and in PolicyVera marketing and promotional materials, with or without attribution. You represent that you have the right to grant these permissions; this section does not grant rights in marks owned by third parties. You further agree that PolicyVera may freely use any suggestions, ideas, or feedback you provide about the Platform to improve its products and services, without compensation or obligation to you. You may withdraw the publicity permissions in this section at any time by emailing legal@policyvera.com, and PolicyVera will stop the use.
Your Platform access is free and is offered on the same terms to all lenders. Neither you nor your personnel will be paid, credited, or rewarded, in money or in anything else of value, for using the Platform, for the volume of borrowers you refer, or for any referral, and your access is never conditioned on referral volume. You will not pay or provide anything of value to PolicyVera or to any insurance agent, and will not accept anything of value from PolicyVera or from any insurance agent, in exchange for the referral of borrowers or of insurance business.
You will not require any borrower to use the Platform or to obtain insurance from any agent on it: a borrower may decline the Platform and may choose any agent, insurer, or policy; that choice will not affect your decision on the extension of credit; and you will give borrowers any written notice of that free choice that applicable law requires of you.
Anyone you invite to the Platform, whether a borrower, an insurance agent, or another lender, receives no preference, placement, or ranking anywhere on the Platform as a result of your invitation.
